Purchase Terms & Conditions

These terms and conditions (“T&Cs”) shall govern all purchase orders (“POs”) issued by TechNova Imaging Systems Pvt. Ltd. (“TISPL” or “the Company”). By accepting the PO, the vendor/supplier (“Vendor”) acknowledges and agrees that these T&Cs shall form an integral and binding part of the contract between the parties, irrespective of whether these are reproduced in the PO or merely referred to by hyperlink.

Purchase Orders are computer generated, so signature not required.

These T&C’S are deemed to be accepted by the Vendor unless specifically objected in writing within seven (7) days of receipt of PO. Once accepted the Vendor shall not have the right to cancel the order.

SECTION I: SUPPLY OF MATERIALS & GENERAL TERMS

  1. The Vendor shall supply goods/services in accordance with all applicable laws, including Covid-19 guidelines, environmental norms, and restrictions on hazardous/banned substances.
  2. All deliveries shall be made on a free delivery basis...
  3. Time is of the essence...
  4. Defective/rejected/expired goods shall be held at the Vendor’s risk...
  5. TISPL may cancel or amend the PO without liability prior to dispatch...
  6. Vendor warrants no IP infringement...
  7. Packaging must be appropriately numbered and documented.
  8. Any over-supply or wrong supply is at Vendor’s risk...
  9. Vendor agrees that TISPL is entitled to set‑off...
  10. Acceptance of goods does not waive rights...
  11. Delay in payments owing to non‑compliance does not remove discounts...
  12. Payments shall be made by online transfer or cheque...
  13. TISPL reserves the right to cancel/amend order...
  14. TISPL assumes no risk for wrong or excess supplies.
  15. Prices are inclusive of taxes unless stated otherwise...
  16. Excess taxes recovered must be refunded...
  17. Force Majeure applies...

SECTION II: EPR (Single Use Plastics)

Terms & Conditions for Single Use Plastics

  1. Vendor shall comply with PWM Rules, 2016 and all Single Use Plastic regulations.
  2. Packaging must comply with the following:
    1. Plastic bags, sheets, cushions must be 50 microns minimum.
    2. Thermocol / Polystyrene prohibited.
    3. Foam usage prohibited.
    4. Avoid Stretch Wrap Films.

SECTION III: GST & E-WAY BILL COMPLIANCE

A. Statutory Compliance & Documentation

  1. Tax Compliance: Vendor must comply with GST laws and file returns timely.
  2. Invoice Requirements: Must issue IRN + E‑Way Bill as applicable.
  3. Advance & Refund Vouchers: Must follow GST requirements.

B. Input Tax Credit (ITC) & Reconciliation

  1. ITC Enablement: Provide correct tax documents.
  2. Mismatch Resolution: Cooperate to fix discrepancies.
  3. Indemnification: Vendor covers ITC loss due to non‑compliance.
  4. Tax Liability Reimbursement: Vendor reimburses any GST penalties.

C. Payment & Recovery Rights

  1. Withholding of Payment: TISPL may hold payments for GST mismatch.
  2. Recovery of Losses: Deductions permitted for Vendor non‑compliance.
  3. Liquidated Damages: GST‑compliant debit note may be issued.

D. Compliance Ratings & Contractual Risk

  1. Vendor Rating & Blacklisting: TISPL may cancel if Vendor is blacklisted.

E. Tax Deduction

  1. TDS Compliance: TISPL will deduct TDS and issue certificates.
  2. Vendor must pass tax rate reductions to TISPL.

F. Invoice Accuracy & Place of Supply

  1. Correct GSTIN & HSN: Both must match PO.
  2. Place of Supply: Must be declared correctly.

SECTION IV: SPECIAL CONDITIONS FOR CHEMICALS, EQUIPMENT, AND VEHICLES

Chemicals & Substances:

  • Updated MSDS (16‑point, less than 5 years old)
  • TREM card for hazardous chemicals
  • Certificate of Analysis + Manufacturing details
  • Proper labeling and packaging
  • Scheduled carcinogen permits
  • End‑user declarations

Plant / Equipment (Electrical):

  • Max noise level 85 dBA
  • Emergency stops, guards, safety devices
  • Relevant electrical certifications
  • Trained installation staff

Vehicles entering TISPL Premises:

  • Valid PUC, License, Fitness Certificate
  • No oil leakage; cleaner/helper mandatory

Transit & Environmental Responsibility:

  • Vendor/Transporter is liable for spills, damage, or violations.

SECTION V: SERVICES

  1. Vendor must maintain records of materials and manpower.
  2. Deviation from scope requires written approval.
  3. Work completion is subject to TISPL certification.
  4. Delays may incur damages.
  5. Damage caused by Vendor personnel is recoverable.
  6. Vendor must comply with labour laws, ESI, PF, WCA.
  7. Safety compliance is Vendor responsibility.
  8. TISPL may suspend work if safety is inadequate.
  9. Misconducted employees must be replaced immediately.
  10. Vendor shall indemnify TISPL for any legal/statutory breach.

SECTION VI: LEGAL ENFORCEABILITY

  1. These T&Cs override conflicting Vendor terms unless agreed by TISPL.
  2. Any communication against these T&Cs does not affect enforceability.

ONLINE ACCESSIBILITY & ACCEPTANCE

These Terms & Conditions shall be available on the designated TISPL online portal. Hyperlink reference in the PO is considered sufficient notice.

By accepting the PO or supplying goods/services, the Vendor agrees to all Terms & Conditions in full.
