Purchase Terms & Conditions

These terms and conditions (“T&Cs”) shall govern all purchase orders (“POs”) issued by TechNova Imaging Systems Pvt. Ltd. (“TISPL” or “the Company”). By accepting the PO, the vendor/supplier (“Vendor”) acknowledges and agrees that these T&Cs shall form an integral and binding part of the contract between the parties, irrespective of whether these are reproduced in the PO or merely referred to by hyperlink.

Purchase Orders are computer generated, so signature not required.

These T&C’S are deemed to be accepted by the Vendor unless specifically objected in writing  within seven (7) days of receipt of PO. Once accepted the Vendor shall not have the right to cancel the order.

SECTION I: SUPPLY OF MATERIALS & GENERAL TERMS

  1. The Vendor shall supply goods/services in accordance with all applicable laws, including Covid-19 guidelines, environmental norms, and restrictions on hazardous/banned substances.
  2. All deliveries shall be made on a free delivery basis to TISPL’s premises unless otherwise stated.
  3. Time is of the essence. Any delay in compliance may result in cancellation without liability.
  4. Defective/rejected/expired goods shall be held at the Vendor’s risks and must be promptly lifted at the Vendor’s risk and cost.
  5. TISPL may cancel or amend the PO without liability prior to dispatch from Vendor’s warehouse.
  6. Vendor warrants no IP infringement of any patent, trademark, design, etc.
  7. Packaging must be appropriately numbered and documented.
  8. Any over-supply or wrong supply is at Vendor’s risk and may be returned at their cost.
  9. Vendor agrees that TISPL is entitled to set-off any prior payment or liability against any amount payable under this or any other contract.
  10. Acceptance of goods does not waive TISPL’s rights in case of non-compliance or breach by the Vendor.
  11. Delay in payments owing to non-compliance of the above terms by the Vendor shall not disentitle TISPL of any discount which may be otherwise available in respect of the goods and services.
  12. Payments shall be affected by online transfer or by cheque drawn on any local bank by due date. Bank charges, if any, shall be borne by the Vendor.
  13. TISPL reserve the right to cancel or amend this order or any part thereof without assigning any reason before the goods leave from Vendors warehouse and TISPL shall not incur any liability for the same.
  14. TISPL assume no risk in relation to any goods delivered more than or different from those specifically ordered, or in relation to wrong supplies of goods.
  15. Unless expressly agreed to the contrary, prices shall be inclusive of all taxes, duties, cess etc. At no point of time, in future, TISPL shall be liable to pay any additional and/or differential amount of other taxes, duties and cess.
  16. Taxes, duties etc., as recovered from TISPL, if found to be more than what is correctly payable in accordance with law, shall be liable to be refunded back to TISPL by the Vendor.
  17. Force Majeure Clause: TISPL shall not be liable for non-acceptance of goods due to acts of God, fire, pandemic, strikes or other unforeseeable events beyond its control.

SECTION II: EPR (Single Use Plastics)

Terms & Conditions for Single Use Plastics

  1. Vendor shall be bound to comply with all the relevant statutory rules and regulations on Single Use Plastics, and the law governing the same including PWM Rules, 2016 from time to time.
  2. Packaging of material shall comply, among other things, with the following points
    1. Plastic packaging items like bags, sheets, cushions/air bags, made up of virgin or recycled plastic used in packing of your material dispatch /shipment, should not be less than 50 microns specified under the law.
    2. Use of Polystyrene (Thermocol) and expanded polystyrene is prohibited.
    3. Use of Foams is prohibited.
    4. Use of Stretch Wrap Films to be avoided.

SECTION III: GST & E-WAY BILL COMPLIANCE

A. Statutory Compliance & Documentation

  1. Tax Compliance: Vendor shall comply with all applicable tax laws, including GST, and file all statutory returns within prescribed timelines.
  2. Invoice Requirements: Vendor must issue valid GST invoices with a unique Invoice Reference Number (IRN) and E-Way Bill, wherever applicable, within statutory time limits and in the prescribed format.
  3. Advance & Refund Vouchers: Vendor shall issue receipt vouchers for advances received and refund vouchers if services are not delivered, along with applicable GST.

B. Input Tax Credit (ITC) & Reconciliation

  1. ITC Enablement: Vendor shall provide all necessary documentation (e.g., tax invoices, debit notes) to enable TISPL to claim eligible input tax credit.
  2. Mismatch Resolution: In case of discrepancies between Vendor’s GST returns and TISPL’s ITC claims, Vendor shall cooperate to resolve such mismatches promptly.
  3. Indemnification for ITC Loss: Any loss of ITC to TISPL due to Vendor’s non-compliance (e.g., incorrect GSTIN, HSN code, delayed filing, etc.) shall be fully indemnified by the Vendor.
  4. Reimbursement of Tax Liability: If any tax liability, interest, or penalty is imposed on TISPL due to Vendor’s default, the Vendor shall reimburse the full amount.

C. Payment & Recovery Rights

  1. Withholding of Payment: TISPL reserves the right to withhold or deduct payments for invoices with GST mismatches or unresolved discrepancies.
  2. Recovery of Losses: TISPL may recover any payment already made or adjust such amounts against any dues to the Vendor in case of non-compliance.
  3. Liquidated Damages: In case of penalties or damages payable by the Vendor, TISPL shall raise a GST-compliant invoice for recovery, and the Vendor shall pay the amount along with applicable GST.

D. Compliance Ratings & Contractual Risk

  1. Vendor Rating & Blacklisting: TISPL reserves the right to cancel the contract without liability if the Vendor is blacklisted by GSTN or has a low compliance rating.

E. Tax Deduction

  1. TDS Compliance: TISPL shall deduct applicable TDS under GST or Income Tax and issue certificates within the prescribed timelines.
  2. In case of reduction of tax rates, Vendor shall pass on any reduction in tax rates or benefit of input tax credit to TISPL through commensurate price reduction.

F. Invoice Accuracy & Place of Supply

  1. Correct GSTIN & HSN: Vendor shall ensure correct GSTINs for both “Bill To” and “Ship To” locations and accurate HSN codes as per the Purchase Order.
  2. Place of Supply: Vendor shall determine and declare the correct Place of Supply on the invoice in accordance with GST law.

SECTION IV: SPECIAL CONDITIONS FOR CHEMICALS, EQUIPMENT, AND VEHICLES

Chemicals & Substances:

Vendor must provide:

  • Updated MSDS (16 points, less than 5 years old)
  • TREM card for hazardous chemicals
  • Certificate of Analysis (COA), Date of Manufacture, Shelf Life, Disposal mode
  • Proper labelling and packaging
  • Scheduled carcinogen permits
  • End-user declarations

Plant / Equipment (Electrical):

  • Max. noise level 85 dBA
  • Emergency stops, guards, safety devices
  • Relevant electrical certifications
  • Safe use manuals and trained installation staff

Vehicles entering TISPL Premises:

  • Valid PUC, driver’s license, vehicle fitness certificate
  • No oil leakage; cleaner/helper mandatory

Transit & Environmental Responsibility:

  • Transporters/Suppliers are solely liable for accidents, spillage, environmental violation, or damage during transit.

SECTION V: SERVICES

  1. Vendor must maintain and submit records of materials, manpower, and job details.
  2. Deviation from scope requires written approval from TISPL’s coordinator.
  3. Completion is subject to satisfaction and certification by TISPL’s job coordinator.
  4. Timely completion of the job is the essence of the contract failing which, Vendor shall be liable to pay damages.
  5. Any damage or loss caused by Vendor’s personnel will be fully recoverable.
  6. Vendor shall ensure full compliance with labour laws, ESI, PF, Workmen Compensation, etc.
  7. Safety gear, protocols, and conduct of Vendor’s personnel at the site are the sole responsibility of the Vendor.
  8. In case TISPL find that Vendor’s provision for safety aspect is inadequate TISPL reserve right to suspend the work till satisfactory arrangements are provided by Vendor. However, it shall not absolve Vendor of its exclusive responsibility for safety of their workmen and property. Vendor will strictly adhere to the enclosed "MINIMUM SAFETY MEASURES TO BE FOLLOWED BY CONTRACTORS".
  9. Should it come to TISPL’s notice that any of Vendors employees do not conduct themselves in an appropriate manner, Vendor shall forthwith arrange their removal and replacement on TISPL’s information to Vendor of such employee/s misconduct. Vendor’s persons at TISPL’s site shall be required to observe TISPL’s factory rules and regulations regarding timing, discipline, etc.
  10. Vendor shall indemnify and hold TISPL indemnified against any liability arising due to breach of the terms and conditions mentioned herein and non-observance of statutory requirements by the Vendor

SECTION IV: LEGAL ENFORCEABILITY

  1. These T&Cs shall override any contradictory or inconsistent conditions proposed by the Vendor unless specifically agreed to by TISPL in writing.
  2. Any communication to the contrary shall not affect the enforceability of these T&Cs.

ONLINE ACCESSIBILITY & ACCEPTANCE

These Terms & Conditions shall be available on [TISPL’s designated online portal/link]. Reference to the hyperlink in the PO shall be deemed sufficient notice to the Vendor.

By accepting the Purchase Order or supplying goods/services to TISPL, the Vendor agrees to be bound by these Terms & Conditions in full.
